Terms of Service and Sale — prostrona.pl
Effective date: 13 October 2026
§1. General provisions
- These Terms set out the rules for using the website available at prostrona.pl (the "Service"), the rules for concluding and performing contracts for the creation and maintenance of a website and contracts for the sale of AI Credits, and the rights and obligations of Clients, including Consumers.
- The Service is owned and operated, and the contracts are concluded, by Jan Czerwiński, a sole trader registered in the Polish Central Register and Information on Economic Activity (CEIDG), with the business address ul. Rubinowa 2, 09-400 Ludwikowo, Poland, Polish tax ID (NIP): 5842816986, REGON: 521841905 (the "Provider").
- Contact: e-mail kontakt@prostrona.pl, phone +48 663 099 054, postal address: ul. Rubinowa 2, 09-400 Ludwikowo, Poland.
- These Terms are the terms referred to in Article 8 of the Polish Act of 18 July 2002 on the Provision of Electronic Services. They are available free of charge at prostrona.pl/regulamin in a form that allows them to be downloaded, saved and printed.
- The information given to Consumers before the contract is concluded (Article 12 of the Polish Consumer Rights Act of 30 May 2014) is contained in §5–§10 of these Terms, on the Offer page and in the payment form.
- The following annexes form an integral part of these Terms: Annex 1 — Model withdrawal form, and Annex 2 — Data Processing Agreement.
§2. Definitions
- Service — the prostrona.pl website and its subpages, including Offer pages, payment forms and the Panel.
- User — anyone who uses the Service.
- Client — a User who concludes a Contract with the Provider: a Consumer, a Sole Trader Treated as a Consumer, or another business.
- Consumer — a natural person who enters into a legal transaction with the Provider that is not directly connected with their business or profession (Article 22¹ of the Polish Civil Code).
- Sole Trader Treated as a Consumer — a natural person who concludes a Contract directly connected with their business, where the content of the Contract shows that it is not of a professional nature for them, in particular in view of the type of business they carry out as disclosed in the CEIDG register (Articles 7aa and 38a of the Polish Consumer Rights Act).
- Offer — an individual proposal from the Provider addressed to a Client, available at prostrona.pl/oferty/…, containing a description of the Website, the price and the model Contract.
- Website — the website created and maintained by the Provider for the Client under the package specified in the Offer (e.g. the "prostrona" package).
- Subscription — a recurring monthly fee for maintaining the Website, where the Offer provides for one.
- Panel — the part of the Service available after signing in, where the Client manages the content of the Website and, if they have access to it, edits the Website with the help of artificial intelligence ("AI Editing").
- AI Credits — prepaid units assigned to a given Website and used up when AI Editing is used. AI Credits are a digital service within the meaning of the Polish Consumer Rights Act.
- Contract — a contract for the creation and maintenance of a Website or a contract for the sale of AI Credits, concluded at a distance through the Service.
- Data Processing Agreement — the agreement on the processing of personal data referred to in Article 28 GDPR, set out in Annex 2 to these Terms.
- Durable medium — any instrument that enables the Client to store information addressed personally to them in a way that allows it to be accessed in the future and reproduced unchanged, in particular an e-mail with its attachments.
§3. Electronic services
- The Provider makes the following available to Users free of charge: browsing the Service, Offer pages, contact forms and payment forms, and — to Clients — the Panel.
- A contract for the electronic services referred to in paragraph 1 is concluded when the User starts using a given function of the Service and ends when they stop using it. Access to the Panel lasts for as long as the Contract for the Website concerned remains in force.
- Users must use the Service in accordance with the law, these Terms and good practice. Supplying unlawful content, including content that infringes the rights of third parties, is prohibited.
§4. Technical requirements
Using the Service requires a device with internet access, an up-to-date web browser that supports HTML5 and CSS3 with JavaScript and cookies enabled, and an active e-mail address. Payments require a payment method supported by the payment operator (§6(6)).
§5. Paid services — main characteristics
- Creating and maintaining the Website. The Provider prepares the Website on the basis of publicly available information about the Client and presents it to the Client together with the Offer, before the Contract is concluded. After the Contract is concluded, the Provider launches the Website at its target address, makes corrections to the extent set out in the Contract and maintains the Website (hosting, SSL certificate, technical updates, support) for the duration of the Contract. The detailed scope of the Website, the number of subpages and the rules on the domain and corrections are set out in the Offer and in the Contract, whose text is available on the Offer page before payment.
- Subscription. Where the Offer provides for a Subscription, it is billed monthly by an invoice sent to the Client's e-mail address. The Client's card or account is never charged automatically.
- AI Credits. A Client with access to AI Editing can top up their AI Credits balance in the Panel. Each instruction carried out by AI Editing uses up a number of AI Credits that depends on how complex the instruction is and how much processing it actually takes. The current balance is shown in the Panel. AI Editing is available while the balance is positive. AI Credits are assigned to the Website for which they were bought and cannot be exchanged for money, subject to §9(3), §10 and §11.
§6. Prices and payments
- Prices are shown in the Offer, in the payment form and in the Panel (AI Credits).
- Consumers are shown a gross price, i.e. including VAT, in the payment form at the latest — before the order is placed. The gross price is final; the Provider charges no additional payment fees.
- Clients who are businesses are shown a net price, to which VAT is added at the applicable rate: 23% for buyers from Poland and for businesses from the European Union whose VAT number is not confirmed in the VIES system; no Polish VAT (reverse charge) for businesses from the European Union whose VAT number is confirmed in VIES; no Polish VAT for businesses from outside the European Union. For AI Credits, a business from another EU Member State whose VAT number is not confirmed in VIES is taxed like a consumer from that state (clause 4): once the threshold is exceeded or taxation in the consumer's state has been chosen, at the VAT rate of that state. This does not apply where VIES was unavailable when the order was placed; the 23% rate then applies. The gross amount payable is shown in the payment form.
- The Provider concludes Contracts with Consumers resident in Poland or in another Member State of the European Union. Consumers from Poland pay prices including 23% Polish VAT. Consumers from another EU Member State are charged 23% Polish VAT for as long as the total value of electronically supplied services provided by the Provider to consumers in other Member States does not exceed, in the current or the previous tax year, the threshold of PLN 42,000 (EUR 10,000) referred to in Article 28k of the Polish VAT Act of 11 March 2004, and the Provider has not opted for taxation in the consumer's country. Once that threshold is exceeded, or once the Provider opts for taxation in the consumer's country (in particular under the EU One-Stop Shop (OSS) scheme), services taxable in the consumer's country are charged at the VAT rate applicable in that country. The VAT rate and the gross price payable are always shown in the payment form before the order is placed and do not change after it is placed.
- Website prices are given in the currency stated in the Offer: Polish zloty (PLN) or euro (EUR). AI Credits are charged in PLN for Clients from Poland, in euro (EUR) for Clients from other EU Member States and in US dollars (USD) for businesses from outside the European Union.
- Payments are processed by the payment operator Stripe. Depending on the currency and device, the available payment methods are: BLIK, Przelewy24, payment card, Apple Pay and Google Pay. Card details are never passed to the Provider.
- Payment is made in advance (prepayment). Where the Offer provides for payment in instalments, the subsequent instalments are paid on the Offer page according to the schedule in the Offer.
§7. Concluding the Contract
- Information presented in the Service, other than an Offer addressed to a specific Client, is not an offer within the meaning of Article 66 of the Polish Civil Code but an invitation to conclude a contract (Article 71 of the Polish Civil Code).
- Website. The Client reviews the prepared Website and the Offer, then, in the payment form, provides their invoice and contact details, accepts these Terms and the Contract, makes the request referred to in paragraph 4 and selects the "Pay" button showing the amount payable, which constitutes an order with an obligation to pay.
- AI Credits. In the Panel, the Client chooses the top-up amount, provides their invoice details, accepts these Terms, makes the request referred to in paragraph 4 and selects the payment button, which constitutes an order with an obligation to pay.
- The Provider starts performance immediately after the Contract is concluded. The payment form therefore contains an express request to start performance before the withdrawal period expires, together with an acknowledgement of the consequences of that request (§10(6)–(9)). Making this request is a condition for placing an order in the Service. A Consumer who wants performance to start only after the withdrawal period has expired may agree a later start date with the Provider before placing the order by writing to kontakt@prostrona.pl.
- The Contract is concluded when the payment is successfully made through the payment operator. By accepting these Terms, the Client also concludes the Data Processing Agreement (Annex 2) with the Provider.
- Immediately after the Contract is concluded, the Provider sends the Client, to the e-mail address provided and on a Durable medium, a confirmation of the Contract including its content (for a Website — the Contract as a PDF file), these Terms with their annexes as a PDF file containing the information referred to in Article 12(1) of the Polish Consumer Rights Act, confirmation of the request referred to in paragraph 4, and the model withdrawal form.
§8. Performance of the Contract
- The Website is launched at its target address immediately after the payment is credited and, where the Client has chosen their own domain, once that domain has been registered and configured — no later than 14 days after the Contract is concluded, unless the delay is caused by the Client (e.g. no decision on the domain).
- The Client reports corrections to the Website within the time limit and to the extent set out in the Contract. Larger changes are carried out for a separate fee, once the Client has accepted the quote.
- AI Credits are added to the Website's balance immediately after the payment operator confirms the payment and can be used from that moment.
- The Client must supply content and materials to which they hold the rights and is responsible for their lawfulness.
§9. Term and termination
- The Contract for the creation and maintenance of a Website is concluded for an indefinite period. Either party may terminate it with effect from the end of the calendar month in which notice was given, in particular by e-mail.
- The Client may end a Subscription at any time by writing to kontakt@prostrona.pl, with effect from the end of the period already paid for.
- A Contract for the sale of AI Credits is performed by using the AI Credits. If the Contract for the Website is terminated for reasons attributable to the Provider, the Provider refunds the value of unused AI Credits to the Client.
- Terminating the Contract does not affect the right to withdraw from the Contract referred to in §10.
- After the Contract for the Website ends, the Provider deletes the Website and the personal data processed on the Client's behalf in accordance with the Data Processing Agreement.
§10. Right of withdrawal
A Consumer and a Sole Trader Treated as a Consumer may withdraw from a Contract concluded at a distance within 14 days of its conclusion, without giving any reason and without incurring any costs other than those set out in paragraphs 7–8.
To meet the deadline, it is enough to send the withdrawal statement before the period expires.
A withdrawal statement can be made:
- using the "Withdraw from contract here" function available at prostrona.pl/odstapienie and via the link in the e-mail confirming the Contract — enter your name, the e-mail address for the confirmation and the Contract concerned, then send the statement using the confirmation button,
- by e-mail to kontakt@prostrona.pl,
- in writing to ul. Rubinowa 2, 09-400 Ludwikowo, Poland.
You may use the model withdrawal form in Annex 1 to these Terms (also available as a PDF file at prostrona.pl/odstapienie/formularz.pdf), but you do not have to.
The Provider acknowledges receipt of the withdrawal statement without delay on a Durable medium (by e-mail), stating the date and time it was received.
The Provider refunds payments no later than 14 days after receiving the withdrawal statement, using the same payment method as the Client used, unless the Client expressly agrees to another refund method that involves no costs for them.
A Client who requested that performance start before the withdrawal period expired (§7(4)) and then withdraws from the Contract must pay for the services provided up to the moment of withdrawal (Article 35 of the Polish Consumer Rights Act). This amount is calculated in proportion to the services provided, based on the price agreed in the Contract. If the price is excessive, the calculation is based on the market value of the services provided.
Website. If the Client withdraws from a Contract for a Website, the Provider determines the amount referred to in paragraph 6 individually — in proportion to the work completed up to the moment of withdrawal (e.g. launching the Website, corrections made, a domain registered at the Client's request) — and presents it to the Client with a justification. The rest of the price paid is refunded in accordance with paragraph 5.
AI Credits. AI Credits used up to the moment of withdrawal count as services already provided. The part of the price paid that corresponds to AI Credits from the payment concerned that were unused at the moment of withdrawal is refunded — but no more than the Website's AI Credits balance at that moment. The refunded AI Credits are deducted from the balance.
The right of withdrawal does not apply to a Contract for services once the Provider has fully performed the service with the Client's express prior consent, where the Client was informed before performance started that they would lose the right of withdrawal once the Provider had fully performed the service, and acknowledged this (Article 38(1)(1) of the Polish Consumer Rights Act). For AI Credits, full performance means that all AI Credits from the payment concerned have been used.
The right of withdrawal under this section does not apply to Clients who are businesses, other than Sole Traders Treated as Consumers.
§11. Complaints and conformity of services with the Contract
- The Provider is liable to the Consumer for the conformity of its services with the Contract. Services of a digital nature (in particular Website maintenance, the Panel, AI Editing and AI Credits) are governed by Chapter 5b of the Polish Consumer Rights Act, and other services by the Polish Civil Code. These provisions apply accordingly to Sole Traders Treated as Consumers.
- If a service does not conform with the Contract, the Consumer may demand that it be brought into conformity and, under the conditions set out in the Polish Consumer Rights Act, may declare a price reduction or withdraw from the Contract.
- Complaints can be submitted by e-mail to kontakt@prostrona.pl or in writing to the Provider's address. A complaint should include contact details, the Contract concerned (e.g. the Website address), a description of the problem and what the Client is asking for.
- The Provider handles a complaint within 14 days of receiving it and sends the reply to the Client's e-mail address. If the Provider does not respond to a Consumer's complaint within that time, the complaint is deemed to have been accepted (Article 7a of the Polish Consumer Rights Act).
- Complaints about how the Service itself works are handled in the same way.
§12. Out-of-court complaint handling and dispute resolution
- Consumers may use out-of-court methods of handling complaints and pursuing claims, in particular:
- ask for free help from a municipal or district consumer ombudsman (rzecznik konsumentów) or from a non-governmental organisation whose statutory tasks include consumer protection,
- apply to the regional inspector of the Trade Inspection (Inspekcja Handlowa) to initiate mediation,
- apply to the permanent consumer arbitration court operating at the regional inspector of the Trade Inspection.
- Information on out-of-court dispute resolution and the bodies authorised to conduct it is available on the website of the Polish Office of Competition and Consumer Protection (UOKiK): uokik.gov.pl.
- A Consumer resident in another EU Member State can ask for free help from the European Consumer Centre in their country (the ECC-Net network); in Poland, this is the European Consumer Centre Poland (konsument.gov.pl).
- Using out-of-court methods is voluntary. The Provider decides whether to take part in such proceedings on a case-by-case basis.
§13. Invoices
- The Provider issues an invoice for every payment: to a Consumer — an invoice in their name (without a tax ID), and to a Client who is a business — a VAT invoice with their tax identification number.
- The Client agrees to receive invoices electronically at the e-mail address given in the payment form.
§14. Intellectual property
- Content published in the Service, including texts, graphics, logos, photos and page layout, is owned by the Provider or used under appropriate licences and is legally protected, except for content supplied by Clients.
- Copying, distributing or using the content of the Service without the Provider's consent is prohibited.
- The rules for using the Website (licence) are set out in the Contract.
§15. Personal data protection
- The Provider is the controller of the personal data of Users and Clients.
- Personal data is processed to conclude and perform the Contract (Article 6(1)(b) GDPR), to comply with legal obligations, including tax and accounting obligations (Article 6(1)(c) GDPR), and for the Provider's legitimate interests, such as handling enquiries and pursuing claims (Article 6(1)(f) GDPR). Data may be shared with processors acting on the Provider's behalf, in particular hosting and infrastructure providers, the payment operator Stripe, the invoicing system provider, the e-mail delivery provider and the providers of the artificial intelligence models used to create the Website and for AI Editing. The full list is in the Privacy Policy.
- Detailed information, including on the rights of data subjects, is in the Privacy Policy.
- Where, in providing its services, the Provider processes personal data of visitors to the Website (in particular submissions from the Website's contact form and visit statistics) and personal data that the Client places in the content of the Website, the Client is the controller of that data and the Provider is the processor. This processing is governed by the Data Processing Agreement (Annex 2).
§16. Cookies
The Service uses only cookies that are necessary for it to work — in particular to keep you signed in to the Panel and to remember the language you have chosen — and measures traffic with an analytics tool that does not store cookies on the User's device. The Service does not use advertising or tracking cookies. Users can manage cookies in their browser settings. The list of cookies is in the Privacy Policy.
§17. Liability
- The Provider makes every effort to keep the content presented in the Service up to date and accurate.
- The Provider is not liable for interruptions in the availability of the Service or the Website caused by force majeure or by third parties over which the Provider has no control, and gives advance notice of planned maintenance where possible.
- Provisions of these Terms limiting the Provider's liability do not apply to Consumers and Sole Traders Treated as Consumers to the extent that they would exclude or limit rights they have under mandatory provisions of law.
§18. Changes to these Terms
- The Provider may change these Terms for important reasons, in particular: changes in the law, changes in the scope or manner of providing services, changes in payment methods or the need to keep the Service secure.
- Clients with whom the Provider has a continuing Contract (Website maintenance, Subscription) are notified of a change by e-mail at least 14 days before it takes effect. A Client who does not accept the changes may terminate the Contract under §9 before they take effect.
- Contracts concluded before the changes take effect are governed by the version of these Terms in force on the day the Contract was concluded, unless the Client accepts the changes. Changes do not affect rights acquired by the Client before they take effect.
§19. Final provisions
- Contracts concluded under these Terms are governed by Polish law. This choice of law does not deprive a Consumer habitually resident in another EU Member State of the protection afforded to them by provisions of the law of that country that cannot be derogated from by agreement (Article 6(2) of the Rome I Regulation).
- Disputes with Consumers are settled by the court having jurisdiction under the general rules. Disputes with Clients who are businesses (including Sole Traders Treated as Consumers) are settled by the court having jurisdiction over the Provider's registered address.
- Matters not covered by these Terms are governed by the Polish Civil Code, the Polish Consumer Rights Act and the Polish Act on the Provision of Electronic Services.
- These Terms, the Contract and the Data Processing Agreement are available in Polish and English. For Consumers and Sole Traders Treated as Consumers, both language versions are equally binding, and any discrepancy between them is interpreted in the Client's favour. For other Clients who are businesses, the Polish version prevails.
